1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the JR Products website, the JR Products Business Portal, and the related content, resources, downloads, forms, and features we make available (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

If you access or use the Services on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms, and references to “you” include that organization.

2. Purpose of the Services

The Services are provided to share information about JR Products and our products, support our customers and authorized business partners, support warranty registration and product inquiries, facilitate where-to-buy and business relationship requests, and provide approved users with access to the Business Portal and related resources. The Services are intended for product, support, business partner, and informational use.

3. No Guarantee of Availability, Pricing, or Completeness

Product availability, specifications, pricing, dealer information, documentation, resources, videos, images, and other content on the Services may change without notice. We do not guarantee that any product, resource, or feature will be available, accurate, current, or complete at any given time. Listing of a product on the Services does not constitute an offer to sell or a guarantee of availability, pricing, or fulfillment.

4. Product Information Disclaimer

Product specifications, instructions, compatibility information, images, drawings, resources, videos, and similar materials are provided for general reference only and may change. Differences may exist between published materials and the actual product. Before purchase, installation, or reliance on any product information, users should confirm suitability for the intended application, including by reviewing the most current product documentation, verifying compatibility with their equipment, and consulting a qualified professional where appropriate.

5. Installation and Safety Disclaimer

Installation instructions, support resources, and similar materials are provided as general guidance only. Users are responsible for proper selection, installation, use, maintenance, and inspection of JR Products products, and for compliance with applicable laws, codes, regulations, manufacturer guidelines, and safety requirements. JR Products does not guarantee installation outcomes, performance in any specific application, or compatibility with any specific vehicle, equipment, or environment.

6. Business Portal

Access to the Business Portal is not automatic. Access requests are reviewed by JR Products and may be approved, denied, suspended, or revoked at our discretion, with or without notice. Approval of an access request does not guarantee any particular pricing, ordering capability, product availability, allocation, exclusivity, promotional terms, or business relationship.

Business Portal features may vary by account, role, organization, store affiliation, and approval status. We may add, modify, limit, suspend, or remove features at any time. Portal content may include business-sensitive information that is provided to approved users for the limited purposes described in these Terms.

You must keep your Business Portal credentials secure, must not share them, and are responsible for activity that occurs under your account. You agree to notify JR Products promptly of any suspected unauthorized access or use.

7. Account Responsibilities

You agree to provide accurate, current, and complete information in connection with any account, access request, inquiry, or other submission, and to keep that information up to date. You are responsible for the accuracy of business, organization, store, and account information you submit, and for ensuring you have the authority to submit it.

8. Prohibited Uses

You agree not to:

• Use the Services in violation of any applicable law, regulation, or third-party right.
• Scrape, crawl, harvest, index, or otherwise extract data from the Services using automated means, scripts, bots, headless browsers, or similar tools, except as expressly permitted in writing by JR Products.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying ideas of any portion of the Services, except to the limited extent applicable law expressly prohibits such restriction.
• Share, sell, transfer, sublicense, or otherwise disclose your Business Portal credentials, or allow another person or organization to access the Business Portal under your account.
• Attempt to access any account, organization, store, role, or area of the Services that you are not authorized to access, or circumvent or attempt to circumvent any access controls, authentication, or security mechanisms.
• Conduct security testing, vulnerability scanning, penetration testing, or similar activities against the Services without our prior written authorization.
• Copy, reproduce, distribute, publicly display, or create derivative works from any content, resources, documents, images, or videos obtained through the Services, except as expressly permitted by these Terms.
• Use the Services to gather competitive intelligence, build a competing product database, catalog, marketplace, sales tool, AI model, or competitive intelligence system, or to support a competing offering.
• Interfere with or disrupt the Services, the servers or networks that host the Services, or other users’ use of the Services.
• Misrepresent your identity, affiliation, authority, or relationship with JR Products.

9. Intellectual Property

JR Products owns or licenses the content, design, layout, logos, trademarks, product names, product images, product documents, instructional materials, resources, videos, software, and other materials made available through the Services. All such content is protected by intellectual property and other laws.

Subject to your compliance with these Terms, JR Products grants you a limited, revocable, non-exclusive, non-transferable, non- sublicensable license to access and use the Services and content for legitimate personal or internal business reference use related to JR Products products. No other rights are granted, whether by implication, estoppel, or otherwise. JR Products and the JR Products name and logos are trademarks of JR Products and may not be used without our prior written permission.

10. Downloads and Resources

Documents, instructions, specification sheets, drawings, images, videos, and other resources made available through the Services (including through the Business Portal) may be downloaded and used only for the purpose of evaluating, installing, supporting, servicing, or selling JR Products products as authorized by JR Products. You may not redistribute, resell, sublicense, publicly post, mine, scrape, or use such resources to build or enhance a competing catalog, database, marketplace, AI model, sales tool, or competitive intelligence system. Bulk downloading is not permitted except as needed for legitimate JR Products business use.

11. User Submissions

Information you submit through forms, inquiries, warranty registrations, access requests, support communications, or other features (collectively, “Submissions”) may be used by JR Products to respond to your request, evaluate access or warranty matters, operate and improve the Services, and conduct related business activities consistent with our Privacy Policy.

You represent that you have the right and authority to provide each Submission, including any business, organization, store, or account information it contains, and that the Submission is accurate to the best of your knowledge. You will not submit content that is unlawful, infringing, confidential to a third party without authority, or otherwise inappropriate.

12. Third-Party Links and Services

The Services may include links to or integrations with third-party websites, products, or services. We do not control and are not responsible for third-party sites or services, their content, their availability, or their privacy or security practices. Your use of third-party sites or services is at your own risk and may be governed by separate terms and policies.

13. Warranty Disclaimer

These Terms govern use of the Services. They do not replace, modify, or extend any written product warranty offered by JR Products, which is governed by the applicable separate warranty terms.

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT WITH JR PRODUCTS, THE SERVICES AND ALL CONTENT, RESOURCES, AND INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JR PRODUCTS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. JR PRODUCTS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, COMPLETE, OR SECURE.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JR PRODUCTS, ITS AFFILIATES, AND ITS AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT JR PRODUCTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF JR PRODUCTS AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

15. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless JR Products, its affiliates, and its and their officers, directors, employees, representatives, and licensors from and against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or access to the Services; (b) your Submissions; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

16. Termination or Restriction of Access

We may, at our discretion and at any time, with or without notice, suspend, restrict, or terminate your access to the Services or any portion of them (including the Business Portal), for any reason or no reason, including suspected violation of these Terms. Sections of these Terms that by their nature should survive termination (including the intellectual property, warranty disclaimer, limitation of liability, indemnification, and governing law provisions) will survive.

17. Governing Law

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of New York, without regard to its conflict of laws principles. The parties agree that the state and federal courts located in the State of New York will have exclusive jurisdiction over any such dispute, and each party consents to personal jurisdiction and venue in those courts, except that JR Products may seek injunctive or equitable relief in any court of competent jurisdiction.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Material changes may be communicated through the Services or by other appropriate means. Your continued use of the Services after an update constitutes your acceptance of the updated Terms, to the extent permitted by applicable law.
